2. Use of Website

You agree to use our Website only for lawful purposes and in accordance with these Terms. You agree not to:

1. Use the Website in any way that violates any applicable local, state, national, or international law or regulation;
2. Use the Website to transmit or send unsolicited commercial communications;
3. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website;
4. Attack the Website via a denial-of-service attack or a distributed denial-of-service attack;

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by DevCraft Philippines, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Client's Intellectual Property

Upon full payment for our Services, the client will own the deliverables created specifically for the client as part of our Services, except for:

• Pre-existing materials or intellectual property owned by DevCraft Philippines that may be incorporated into the deliverables;
• Third-party materials, including open-source software, which will be subject to their respective licenses;
• General programming knowledge, techniques, algorithms, methods, or processes developed or used by DevCraft Philippines in the course of providing the Services.

DevCraft Philippines retains the right to use and incorporate into future projects any general programming knowledge, techniques, algorithms, methods, or processes developed or used in the course of providing the Services.

4. User Representations

By using the Website or Services, you represent and warrant that:

1. You have the legal capacity and agree to comply with these Terms;
2. You are not a minor in the jurisdiction in which you reside;
3. You will not access the Website through automated or non-human means, whether through a bot, script, or otherwise;
4. You will not use the Website for any illegal or unauthorized purpose;
5. Your use of the Website will not violate any applicable law or regulation.

5. Fees and Payment

Fees for our Services will be outlined in separate service agreements or statements of work. Unless otherwise agreed upon in writing, the following payment terms apply:

• All fees are quoted in Philippine Peso (₱);
• Payment schedules will be specified in the service agreement;
• Invoices are due upon receipt, unless otherwise stated;
• Late payments may incur interest charges;
• DevCraft Philippines reserves the right to suspend Services until payment is received.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall DevCraft Philippines, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Website or Services;
2. Any conduct or content of any third party on the Website;
3. Any content obtained from the Website; and
4. Unauthorized access, use, or alteration of your transmissions or content,

whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

DevCraft Philippines' total liability for all claims arising from or related to the Services will not exceed the amount paid by the client for the specific Services giving rise to the claim.

7. Disclaimer

The Website and Services are provided on an "as is" and "as available" basis. DevCraft Philippines makes no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of the Website or Services.

8. Indemnification

You agree to defend, indemnify, and hold harmless DevCraft Philippines, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or Services.

9. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
